Terms and Conditions for Rayzor Website Design Services

1. Introduction


Welcome to Rayzor Website Design. These Terms and Conditions govern the relationship between Rayzor ("we," "us," "our") and the client ("you," "your") in relation to the website design services provided. By engaging our services, you agree to these terms. Please read them carefully.


2. Services


We provide website design, development, maintenance, and related services as outlined in the project proposal or agreement.

Services will be provided as described in the scope of work document. Any additional services or changes in scope may incur additional charges.


3. Project Timeline

Project timelines will be agreed upon before the commencement of work. We strive to adhere to these timelines, but delays may occur due to unforeseen circumstances. We are not liable for any delays outside our control.


4. Payment Terms

A non-refundable deposit of 25% is required upon signing the contract. The remaining balance is due upon project completion and before the website goes live.

Payment is due within 30 days of the invoice date unless otherwise agreed in writing.

We accept payments via all popular payment methods.


5. Late Payments and Debt Collection

In the event of a late payment, we reserve the right to charge interest at a rate of 10% per month on the outstanding amount.

If an invoice remains unpaid for more than 30 days after the due date, we may suspend all services until full payment is received.

In the event of a payment dispute or non-payment, you agree to pay all costs associated with debt collection, including but not limited to legal fees, collection agency fees, and other expenses incurred in recovering the outstanding balance.


6. Intellectual Property

Upon full payment, you will own the website design and content. However, we retain the right to use the design and development work in our portfolio and promotional materials.

Any third-party software or resources used in the project will be governed by their respective licenses.


7. Revisions and Scope Changes

You are entitled to 5 rounds of revisions during the design phase. Additional revisions may incur extra charges.

Any changes to the scope of work must be agreed upon in writing and may affect the project timeline and cost.


8. Confidentiality

Both parties agree to keep confidential any sensitive information disclosed during the course of the project, except as required by law.


9. Termination

Either party may terminate the agreement with 7 days' written notice. In the event of termination, you are responsible for payment for work completed up to the termination date.


10. Liability and Warranty

We will use reasonable efforts to provide a professional and high-quality service. However, we do not guarantee that the website will be error-free or uninterrupted.

Our liability for any claim arising from this agreement is limited to the amount paid for the services.


11. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of NSW. Any disputes arising under these terms will be resolved in the courts of NSW.


12. Dispute Resolution

In the event of a dispute, both parties agree to attempt to resolve the matter amicably. If a resolution cannot be reached, the dispute may be referred to mediation or arbitration.


13. Amendments

We reserve the right to update or modify these terms and conditions at any time. Any changes will be communicated to you in writing and will apply to all future engagements.
